bETA Twin Cities ‘25, Acquired Gulf Shade Structures

Many ETA journeys start with big life transitions. This was the case for Olvin. His journey began after being laid off from an engineering role in oil and gas in 2020. Olvin’s layoff motivated him to pursue his MBA at Rice University, which spurred both a career pivot and a stronger business foundation.

In one of his final courses, Enterprise Acquisition, he was introduced to the ETA model for the first time, and it immediately resonated. From there, he immersed himself in the community through conferences, networking events, podcasts, and webinars and began searching part-time after graduating.

Why ETA?

A second layoff in January 2025 accelerated his timeline and prompted Olvin to search full-time. He applied to and attended the bETA Accelerator, which further sharpened his search process. That fall, he identified Gulf Shade Structures, a Houston-based custom shade structure fabrication and installation company specializing in vacuum canopy systems for car washes and custom shade sails for restaurants, parks, and parking lots, and got under LOI in November 2025, closing on May 21, 2026.

With Olvin’s background is in engineering and operations, he was drawn to businesses that make and install physical things. The combination of designing on a computer and installing it in real life resonated deeply with his experience and interests. When he came across Gulf Shade Structures, he saw a company with a real craft: custom fabrication, skilled installation, hands-on project execution. What drew him specifically was its niche positioning, its nearly 20-year operating history, and the fact that it had loyal customers and strong margins despite no formal marketing. It's a great business that simply needed a structured operator to take it to the next level. He was open to moving if he found a great company elsewhere, but the company is based 15 minutes from his home in Houston.

Ownership In Action

One of the most demanding aspects of this acquisition was navigating a business that operated largely on handshake agreements: no formal lease, no written contractor arrangements, no customer contracts. Turning that informality into a structured, bankable deal required persistence, creativity, and strong collaboration with his legal and lending team. Getting from a signed LOI through SBA conditional approval and into closing, while simultaneously building the operational infrastructure for Day 1, was both the defining challenge and the defining achievement of this journey.

Olvin is busy transitioning into the owner-operator role full-time. His immediate focus is on operational continuity,  formalizing key vendor and contractor relationships, and building the systems and processes needed to support growth. He’s also spending significant time on customer relationship management to ensure a smooth handoff from the prior owner and reinforce confidence with our key accounts. NMC supported the process by introducing Olvin to key members of his deal team, including his QoE provider and legal counsel.

Impact & Insights

“Houston is my home market, and I want Gulf Shade Structures to be a business that gives back to the community it operates in.”

In these early days, Olvin is working to establish himself in the local Houston business community. The prior owner built something impressive through relationships and craftsmanship, but the business was entirely dependent on him personally. Bringing in formal processes, documented agreements, and a clear operational plan creates durability for the employees and subcontractors who depend on this business, and for the customers who count on us to deliver on time. Olvin’s goal is to make Gulf Shade Structures a business built to last.  Beyond the business itself, he’s committed to staying connected to the Houston community and continuing to support work in local schools and contributing to other small businesses in the area.

Advice to Others

“Treat the search like a job — because it is one. I'm not saying you need to leave your full-time job, but you need to be focused on your search. The bETA program gives you the tools, the framework, and the community to succeed, but none of that matters if you're not putting in the focused, consistent effort required to source, evaluate, and close on a business. Deals don't wait for convenient timing. And don't let perfect be the enemy of good”
